Qorvo extends exchange offer for 4.375% senior notes due 2029
Qorvo Inc of Greensboro, NC, USA (which provides core technologies and RF solutions for mobile, infrastructure and defense applications) has extended its registered exchange offer to exchange any and all of its outstanding $850m worth of 4.375% senior notes due 2029, which were previously issued on 30 September 2019, 20 December 2019 and 11 June 2020 pursuant to an exemption from the registration requirements of the Securities Act of 1933, as amended, for an equal principal amount of new notes registered under the Securities Act.
The exchange offer, which had been scheduled to expire at 5pm (New York City time) on 13 August, will now expire at 5pm on 21 August, unless further extended by Qorvo. All other terms, provisions and conditions of the exchange offer will remain in full force and effect.
As of 5pm on 13 August, $847,474,000 aggregate principal amount of the outstanding notes had been tendered for exchange, representing about 99.7% of the outstanding notes.
The terms of the exchange offer are set forth in a prospectus dated 15 July and the related letter of transmittal.
