Advanced Photonix and Luna expect to close merger in May
Advanced Photonix Inc (API) of Ann Arbor, MI, USA (which designs and makes APD, PIN, and FILTRODE photodetectors, HSOR high-speed optical receivers, and T-Ray terahertz instrumentation) and Luna Innovations Inc of Roanoke, VA, USA (which manufactures fiber-optic sensing and test & measurement products for the telecoms, aerospace, automotive, energy and defense markets) have jointly announced an update to the timing of their planned merger (announced on 12 February).
As previously disclosed, the closing of the proposed merger is subject to the satisfaction or waiver of customary closing conditions, including the effectiveness of a Form S-4 registration statement filed by Luna with the US Securities and Exchange Commission (SEC) and the approval of certain matters related to the merger by each company's stockholders.
In February, Luna filed a Form S-4 registration statement with the SEC with respect to the proposed merger. However, that registration statement is not yet effective, and the companies have yet to finalize the dates of their respective stockholders meetings.
Luna expects to file an amendment to the Form S-4 during March and, following effectiveness of the Form S-4, Luna and Advanced Photonix will mail the joint proxy statement/prospectus included in it to their stockholders for consideration at their respective stockholder meetings.
Although the companies have not yet formally determined the dates of their stockholder meetings, they currently expect to hold them, and close the merger, in May.
Advanced Photonix to merge with Luna Innovations
Advanced Photonix's revenue falls 25% due to delayed telco spending
