Emcore announces preliminary results of $45m modified Dutch auction tender offer
Emcore Corp of Alhambra, CA, USA (which provides compound semiconductor-based components, subsystems and systems for the broadband and specialty fiber-optics market) has announced the preliminary results of its modified Dutch auction tender offer, which expired on 15 June.
Based on a preliminary analysis by American Stock Transfer & Trust Company LLC (the depositary for the tender offer), 6,968,735 shares of its common stock were properly tendered and not withdrawn (including shares that were tendered through notice of guaranteed delivery) at prices at or below the expected final purchase price of $6.45 per share. Accordingly (pursuant to the terms of the Offer to Purchase and the Letter of Transmittal dated 15 May, as well as applicable securities laws), Emcore expects to accept for payment up to 6,968,735 shares at a final purchase price of $6.45 per share, or about $44,948,000 in total.
The number of shares to be purchased in the tender offer and the price per share are preliminary. Determination of the final number of shares to be purchased is subject to confirmation by the depositary of the proper delivery of the shares properly tendered (including through notice of guaranteed delivery) and not withdrawn. The actual number and percentage of outstanding shares properly tendered and not withdrawn), the final price per share for shares purchased in the tender offer, and the number of shares of common stock that will be outstanding after payment for the tendered shares will be announced after completion of the confirmation process. Subsequent payment for shares will be made in cash, without interest.
