SemiLEDs notifies SEC of late filing of quarterly report
LED chip and component maker SemiLEDs Corp of Hsinchu Science Park, Taiwan has submitted a Form 12b-25 ‘Notification of Late Filing’ with the US Securities and Exchange Commission (SEC), allowing it to extend the deadline for filing its Annual Report on Form 10-K for fiscal 2012 (to end-August) until 14 December.
Founded in 2005, SemiLEDs’ manufactures proprietary blue, green and ultraviolet (UV) LED chips under the MvpLED (metal vertical photon LED) brand name for sale mainly to chip-packaging customers in China and Taiwan as well as Russia and North America, or to distributors who sell to packagers. It also packages chips into LED components for sale to distributors and end-customers in selected markets (mainly for general lighting applications, including street lights and commercial, industrial and residential lighting, as well as backlighting, medical, automotive, and UV applications).
SemiLEDs says that it needs additional time for the filing because it has had insufficient time to update its disclosure and financial statements to reflect the recent determination that assets related to Xurui Guangdian Co Ltd (China SemiLEDs, in which it holds a 49% equity interest) had been materially impaired, as announced in SemiLEDs’ current report on Form 8-K filed on 26 November, and reflected in its preliminary financial results announced on 28 November.
SemiLEDs adds that it expects to file its Form 10-K no later than 14 December.
